1. Agreement to Terms
By accessing or using AgentPuter (the "Service"), operated by Sophon LLC ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
AgentPuter provides managed cloud hosting for always-on AI agents. The Service includes:
- Dedicated cloud server for your AI agent
- Pre-configured AI agent framework
- Web dashboard for management and monitoring
- AI model access (for applicable plans)
- Multi-channel communication support
3. Account Registration
You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration.
4. Subscription and Payment
Pricing
- AgentPuter Pro: $29.99/month (includes AI model access)
- Prices are in USD and subject to change with 30 days' notice
Billing
- Subscriptions are billed monthly via Stripe
- Payments are non-refundable except as required by law
- Failed payments may result in service suspension after a grace period
Cancellation
- You may cancel your subscription at any time from your dashboard or Stripe customer portal
- Service remains active until the end of the current billing period
- No cancellation fees apply
5. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable laws or regulations
- Send spam, phishing, or unsolicited messages via channels
- Distribute malware or engage in hacking activities
- Mine cryptocurrency or run compute-intensive workloads unrelated to AI agents
- Store or transmit illegal content
- Attempt to gain unauthorized access to other users' servers or data
- Resell or redistribute the Service without authorization
- Circumvent usage limits or abuse AI model token allocations
Violation of these terms may result in immediate suspension or termination of your account without refund.
6. AI Model Usage
For plans that include AI model access (Pro plan), usage is subject to fair use limits (~$20 worth of tokens/month). We reserve the right to throttle or suspend AI model access if usage significantly exceeds normal patterns. You remain responsible for the outputs generated by your AI agent.
7. Infrastructure and Uptime
- We target 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated in advance when possible
- We are not liable for downtime caused by third-party providers (Hetzner, Anthropic, etc.)
8. Data and Content
You retain ownership of all data and content stored on your dedicated server. We do not access, monitor, or share your data except as necessary to operate the Service or as required by law. You are responsible for backing up your data.
9. Limitation of Liability
To the maximum extent permitted by law, AgentPuter (Sophon LLC) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms. Upon termination, your access to the Service will cease and your dedicated server will be decommissioned. We will make reasonable efforts to provide notice before termination except in cases of severe abuse.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
